The bylaws may prescribe the following:
(a) The right of members or stockholders to vote by proxy or by mail or both, and the conditions, manner, form, and effects of those votes.
(b) The right of members or stockholders to cumulate their votes and the prohibition, if any, of cumulative voting.

Allows association bylaws to prescribe whether members or stockholders may vote by proxy, by mail, or both, including the conditions, manner, form, and effects of those votes. The bylaws may also establish cumulative-voting rights and any prohibition on cumulative voting.
