California Codes, Civil Code - CIV, Division 3 — Obligations, Part 2 — Contracts, Title 3 — Interpretation of Contracts, Section 1654

In cases of uncertainty not removed by the preceding rules, the language of a contract should be interpreted most strongly against the party who caused the uncertainty to exist.

Notes

Requires unresolved contractual uncertainty to be interpreted most strongly against the party who caused the uncertainty. This rule applies only after the preceding interpretation rules fail to remove the uncertainty, making responsibility for creating the ambiguity the deciding factor when other interpretive rules do not resolve it.
