California Codes, Civil Code - CIV, Division 3 — Obligations, Part 4 — Obligations Arising from Particular Transactions, Title 9 — Agency, Chapter 1 — Agency in General, Article 2 — Authority of Agents, Section 2313

No unauthorized act can be made valid, retroactively, to the prejudice of third persons, without their consent.

Notes

Bars retroactive validation of an unauthorized act when doing so would prejudice third persons who have not consented. The rule protects third persons from having an unauthorized act made valid after the fact to their prejudice unless those third persons consent to that retroactive validation.
