California Codes, Civil Code - CIV, Division 3 — Obligations, Part 4 — Obligations Arising from Particular Transactions, Title 9 — Agency, Chapter 1 — Agency in General, Article 2 — Authority of Agents, Section 2310

A ratification can be made only in the manner that would have been necessary to confer an original authority for the act ratified, or where an oral authorization would suffice, by accepting or retaining the benefit of the act, with notice thereof.

Notes

Limits ratification to the manner that would have been required to grant original authority for the ratified act. Allows ratification, when oral authorization originally would have sufficed, through acceptance or retention of the act's benefit with notice of the act, making informed acceptance or retention an alternative ratification method in that circumstance.
