California Codes, Civil Code - CIV, Division 3 — Obligations, Part 4 — Obligations Arising from Particular Transactions, Title 9 — Agency, Chapter 1 — Agency in General, Article 2 — Authority of Agents, Section 2312

A ratification is not valid unless, at the time of ratifying the act done, the principal has power to confer authority for such an act.

Notes

Requires a principal, at the time of ratification, to have the legal power to confer authority for the act being ratified. Bars a ratification from being valid when the principal lacks that power at the time, tying validity to the principal's then-existing ability to authorize the underlying act.
