California Codes, Business and Professions Code - BPC, Division 2 — Healing Arts, Chapter 16 — Licensed Professional Clinical Counselors, Article 7 — Professional Clinical Counselor Corporations, Section 4999.126
Except as provided in Section 13403 of the Corporations Code, each director, shareholder, and officer of a professional clinical counselor corporation shall be a licensed person, as defined in Section 13401 of the Corporations Code.

Requires each director, shareholder, and officer of a professional clinical counselor corporation to be a licensed person as defined in the referenced Corporations Code provision. The requirement is expressly subject to the exception provided in another identified Corporations Code provision.
