Any assignee of the invention developer’s rights is subject to all equities and defenses of the customer against the invention developer existing in favor of the customer at the time of the assignment.

Notes

Establishes that an assignee receiving an invention developer's rights takes those rights subject to every equity and defense the customer had against the invention developer at the time of assignment. The assignment therefore does not eliminate or cut off customer defenses or equitable claims that already existed when the developer transferred its rights.
