California Codes, Civil Code - CIV, Division 3 — Obligations, Part 4 — Obligations Arising from Particular Transactions, Title 9 — Agency, Chapter 1 — Agency in General, Article 3 — Mutual Obligations of Principals and Third Persons, Section 2337
An instrument within the scope of his authority by which an agent intends to bind his principal, does bind him if such intent is plainly inferable from the instrument itself.
Notes
Establishes that an instrument executed within an agent's authority binds the principal when the agent intends to bind the principal and that intent is plainly inferable from the instrument itself. Makes the instrument's own language or form the stated basis for determining whether the requisite intent is sufficiently apparent.
