California Codes, Civil Code - CIV, Division 3 — Obligations, Part 2 — Contracts, Title 3 — Interpretation of Contracts, Section 1650

Particular clauses of a contract are subordinate to its general intent.

Notes

Limits particular contractual clauses by making them subordinate to the contract’s general intent. A specific clause therefore cannot be interpreted in isolation to defeat the overall purpose or intention expressed by the agreement when the two are in tension, making overall contractual intent controlling over a narrower inconsistent clause.
