California Codes, Civil Code - CIV, Division 3 — Obligations, Part 2 — Contracts, Title 3 — Interpretation of Contracts, Section 1649

If the terms of a promise are in any respect ambiguous or uncertain, it must be interpreted in the sense in which the promisor believed, at the time of making it, that the promisee understood it.

Notes

Requires an ambiguous or uncertain promise to be interpreted in the sense the promisor believed, when making the promise, that the promisee understood it. The rule therefore resolves uncertainty by the promisor’s contemporaneous belief about the promisee’s understanding rather than by a later interpretation.
