California Codes, Civil Code - CIV, Division 3 — Obligations, Part 4 — Obligations Arising from Particular Transactions, Title 12 — Indemnity, Section 2773

Section Twenty-seven Hundred and Seventy-three. An agreement to indemnify a person against an act thereafter to be done, is void, if the act be known by such person at the time of doing it to be unlawful.

Notes

Prohibits an indemnity agreement covering a future act when the person being indemnified knows, at the time the act is done, that the act is unlawful. The agreement is void as to that knowingly unlawful future act, so indemnity cannot validly protect the person under those stated circumstances.
