California Codes, Civil Code - CIV, Division 3 — Obligations, Part 4 — Obligations Arising from Particular Transactions, Title 12 — Indemnity, Section 2774

An agreement to indemnify a person against an act already done, is valid, even though the act was known to be wrongful, unless it was a felony.

Notes

Allows an agreement to indemnify a person against an act already performed to remain valid even when the parties knew the act was wrongful. Bars that indemnity when the prior act was a felony, making felony status the stated exception to validity for indemnification of already completed conduct.
