Any assignee of the seller assisted marketing plan contract or the seller’s rights is subject to all equities, rights and defenses of the purchaser against the seller.
Notes
Sets an assignee of a seller-assisted-marketing-plan contract, or of the seller's rights under that contract, subject to all equities, rights, and defenses the purchaser has against the seller. The purchaser may assert those same equities, rights, and defenses against the assignee because the assignment carries them with the seller's contract rights.
